These Terms of Service ("Terms") govern your use of the website at jopese.com (the "Site"), operated by HIRO PARTNERS LLC, a Texas limited liability company doing business as "Jopese" ("Jopese," "we," "us"). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. What Jopese is

Jopese is a management services organization (MSO). We provide operational, administrative, technology, and management services that support a legal practice. Jopese is not a law firm and does not provide legal advice or legal services. Using the Site or contacting us does not create an attorney-client relationship, and no communication through the Site is privileged. We are also not your accountant, tax advisor, or fiduciary. Legal services are provided by an independent law firm under a separate engagement in which Jopese does not participate.

2. Informational purpose only

The Site is provided for general informational purposes. Its content is not legal, tax, financial, or other professional advice, and you should not act on it without advice from a qualified professional. Using the Site or emailing us does not create any engagement, retainer, or professional relationship; any engagement is established only through a separate written agreement.

3. Acceptable use

You agree not to use the Site to: (i) violate any law or regulation; (ii) infringe the rights of others; (iii) interfere with or disrupt the Site, including through scraping, bots, or unauthorized access attempts; or (iv) misrepresent your identity or affiliation. We may suspend or restrict access to the Site if we reasonably believe you have violated these Terms.

The Site and its content, including the design, text, the Jopese name, and the Jopese logo, are owned by HIRO PARTNERS LLC and protected by applicable law. You may not copy, reproduce, or use them without our written permission, except as permitted by these Terms or by law.

6. Disclaimers

7. Limitation of liability

To the maximum extent permitted by law: (i) Jopese will not be liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits or lost opportunity, arising out of or relating to your use of the Site; and (ii) our total liability for any claim relating to the Site is limited to USD 100. These limitations do not apply to liability that cannot be excluded or limited under applicable law, including liability for our gross negligence, willful misconduct, or fraud.

8. Indemnification

You agree to indemnify and hold harmless HIRO PARTNERS LLC and its affiliates, officers, employees, and agents from any claim, loss, or expense (including reasonable attorneys' fees) arising out of your use of the Site or your violation of these Terms or applicable law.

9. Governing law and disputes

9.1 Governing law. These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-laws rules.

9.2 Informal resolution. Before starting any formal proceeding, the parties will try in good faith to resolve any dispute through informal negotiation, beginning with written notice to the other party.

9.3 Mediation. If the dispute is not resolved within thirty (30) days of that notice, the parties will submit it to mediation administered by JAMS under its applicable rules, conducted in Bexar County, Texas. Mediation is non-binding, and the parties share its costs equally unless they agree otherwise.

9.4 Venue. If mediation does not resolve the dispute within sixty (60) days of the mediation request, the state and federal courts located in Bexar County, Texas, will have exclusive jurisdiction, and the parties consent to that jurisdiction and venue.

9.5 Jury and class-action waiver. To the maximum extent permitted by law, the parties waive any right to a jury trial and any right to participate in a class or representative action.

10. Changes

We may update these Terms from time to time. The "last updated" date above always reflects the current version. Your continued use of the Site after changes take effect constitutes acceptance.
